Terms of Service

These Terms govern your use of the Rafynix website and services. Project-specific terms are defined in a Statement of Work (“SoW”) or Master Services Agreement (“MSA”).

Scope of Services

We provide software development, cloud/DevOps, cybersecurity, data/AI, and web3/fintech software integrations. We do not provide financial services, hold customer funds, or operate as a money transmitter.

Engagement & Payment

• Work begins upon mutual agreement to a SoW/MSA and, where applicable, an initial invoice.
• Invoices are due within 7 days unless otherwise stated. Late payments may incur reasonable admin/finance charges.
• Refunds follow our Refund & Billing Policy.

Intellectual Property

Unless otherwise agreed, upon full payment you receive ownership or a license to deliverables as defined in the SoW/MSA. Pre-existing Rafynix tools, frameworks, or libraries remain our property but may be licensed for your use.

Confidentiality

Each party will protect the other’s confidential information and use it only for the engagement.

Warranties & Disclaimer

We provide services with reasonable skill and care. Except as expressly set out in the SoW/MSA, services and deliverables are provided “as is”, without other warranties.

Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect or consequential loss. Our aggregate liability under an engagement is limited to fees paid to us in the 3 months preceding the event giving rise to the claim.

Governing Law

Wyoming, USA law governs, and courts of Wyoming have exclusive jurisdiction, unless the SoW/MSA specifies otherwise.
